Thank you for choosing FlexIron Rentals. We are committed to providing clean, dependable, well-maintained equipment and exceptional customer service. This Rental Agreement establishes the responsibilities of both FlexIron Rentals, LLC ("FlexIron Rentals") and the Customer to help ensure every rental is safe, efficient, and successful.
By signing this Agreement, completing an online reservation, or taking possession of any equipment, the Customer acknowledges that they have read, understand, and agree to be bound by all terms and conditions contained in this Agreement.
This Agreement is a true lease and does not convey any ownership interest in the rented equipment. All equipment remains the sole property of FlexIron Rentals at all times.

ARTICLE 2 – DEFINITIONS
For purposes of this Agreement, the following definitions apply:
Authorized Operator
A person who:
• Is at least 21 years of age, unless otherwise approved in writing by FlexIron Rentals;
• Holds a valid driver's license;
• Has sufficient knowledge and experience to safely operate the equipment;
• Has reviewed the manufacturer's operating instructions and safety information;
• Is not impaired by alcohol, illegal drugs, prescription medication, fatigue, or any condition that may affect safe operation.
Only Authorized Operators may operate the equipment.
Customer
The individual or business renting equipment from FlexIron Rentals, including anyone acting on the Customer's behalf, employees, agents, representatives, or anyone permitted by the Customer to possess or operate the equipment.
The Customer remains fully responsible for the equipment regardless of who actually operates it.
Equipment
Any machine, trailer, attachment, accessory, bucket, tool, implement, or other item rented from FlexIron Rentals, together with any replacement parts or accessories provided during the Rental Period.

Rental Period
The Rental Period begins when the equipment leaves the possession of FlexIron Rentals, whether picked up or delivered, and ends only after:
• the equipment has been returned,
• inspected,
• accepted by FlexIron Rentals, and
• all outstanding charges have been satisfied.

Normal Wear and Tear
Minor cosmetic deterioration that naturally occurs during proper operation under normal working conditions.
Normal Wear and Tear does not include:
• bent components
• broken glass
• torn seats
• damaged tracks or tires
• hydraulic leaks caused by impact
• cracked welds
• excessive wear from abuse
• missing decals
• missing accessories
• improper maintenance
• misuse or negligence

Security Deposit
Money collected before the rental to secure the Customer's obligations under this Agreement.
The Security Deposit is not a limitation of the Customer's financial responsibility.
Equipment Protection Plan (EPP)
An optional contractual agreement offered by FlexIron Rentals that may reduce the Customer's financial responsibility for certain accidental damage, subject to the terms, exclusions, and limitations contained in this Agreement.
The Equipment Protection Plan is not insurance and does not provide liability coverage for bodily injury or property damage.
Business Days
Monday through Friday, excluding recognized federal holidays.
One Rental Week
Unless otherwise stated in writing:
• 8 operating hours per day
• 40 operating hours per week
• 160 operating hours per month
Additional daily charge when these limits are exceeded.
Agreement
This Rental Agreement, together with any inspection reports, invoices, Equipment Protection Plan election, delivery receipts, photographs, online reservations, electronic signatures, and any documents specifically incorporated by reference.

ARTICLE 3 – CUSTOMER RESPONSIBILITIES
As the Customer, you are responsible for the equipment from the moment it leaves FlexIron Rentals until it has been returned, inspected, and accepted by FlexIron Rentals. During that time, you are responsible for operating it safely, protecting it from damage or theft, maintaining required fluid levels, and returning it on time in the condition required by this Agreement.
3.1 Acceptance of Equipment
Before taking possession of the Equipment, Customer shall inspect the Equipment with a FlexIron Rentals representative and acknowledge its condition on the Equipment Inspection Report.
By accepting possession of the Equipment, Customer acknowledges that:
• The Equipment is in safe operating condition.
• The Equipment is suitable for the intended use.
• All required safety devices are present and functional.
• Any pre-existing damage has been documented.
Customer has had the opportunity to ask questions regarding operation of the Equipment.
3.2 Safe Operation
Customer agrees that the Equipment shall only be operated by an Authorized Operator and only in accordance with:
• Manufacturer operating instructions;
• All warning labels and safety decals;
• Applicable OSHA regulations;
• Federal, state, and local laws; and
• Industry-accepted safe operating practices.
Customer shall immediately discontinue use if the Equipment becomes unsafe, malfunctions, or is damaged, and shall promptly notify FlexIron Rentals.
3.3 Customer Care of Equipment
During the Rental Period, Customer agrees to:
• Protect the Equipment from theft, vandalism, abuse, and misuse.
• Check engine oil, coolant, hydraulic fluid, DEF (when applicable), and other routine fluid levels as recommended by the manufacturer.
• Maintain proper tire or track condition.
• Keep the Equipment reasonably clean.
• Secure the Equipment when unattended.
• Report any warning lights or mechanical problems immediately.
• Allow only Authorized Operators to use the Equipment.
3.4 Equipment Location
Unless FlexIron Rentals provides prior written approval, Equipment shall:
• Remain within the State of Maryland.
• Remain at the approved job site listed on the Rental Agreement.
• Not be transported to another state.
• Not be relocated to another job site without prior authorization.
Unauthorized relocation may result in immediate termination of the Rental Agreement, repossession of the Equipment, and additional charges.
3.5 Prohibited Uses
Customer shall not:
• Operate the Equipment while impaired by alcohol, drugs, or medication that affects safe operation.
• Permit anyone other than an Authorized Operator to operate the Equipment.
• Remove, disable, or alter any safety device.
• Remove safety decals or warning labels.
• Modify the Equipment without written permission.
• Use the Equipment for any unlawful purpose.
• Sub-rent, loan, or assign the Equipment to another person or business.
• Use the Equipment in a manner that exceeds its rated capacity or manufacturer's recommendations.
3.6 Excavation Safety
Before beginning any excavation, trenching, boring, or digging activity, Customer is responsible for obtaining all required utility locates and complying with applicable laws.
Unless utilities have already been properly marked, Customer shall contact Maryland 811 before excavation begins.
Customer is solely responsible for damage to underground utilities resulting from failure to obtain required utility locates.
3.7 Accidents, Damage, or Theft
Customer shall immediately notify FlexIron Rentals if:
• Equipment is damaged.
• Equipment is stolen.
• Equipment becomes disabled.
• An accident occurs.
• Someone is injured.
• Property is damaged.
• Law enforcement responds to an incident involving the Equipment.
Customer shall cooperate fully with any investigation and provide copies of any police reports, insurance reports, photographs, or other documentation requested by FlexIron Rentals.
3.8 Return Condition
Customer agrees to return the Equipment:
• On or before the agreed return date and time.
• With the same fuel level as when received.
• Free of excessive dirt, concrete, asphalt, paint, chemicals, or other contaminants requiring extraordinary cleaning.
• With all attachments, accessories, manuals, keys, and safety equipment originally provided.
• In substantially the same condition as when rented, excluding ordinary wear and tear.

ARTICLE 4 – RENTAL PERIOD, RETURNS & SECURITY DEPOSIT
4.1 Rental Period
The Rental Period begins when the Equipment is picked up by the Customer or delivered by FlexIron Rentals and continues until:
• The Equipment has been returned to FlexIron Rentals (or picked up by FlexIron Rentals if delivery service was provided),
• The Equipment has been inspected,
• The Equipment has been accepted by FlexIron Rentals, and
• All applicable rental charges have been calculated.
The Customer remains responsible for the Equipment until these requirements have been completed.
4.2 Standard Rental Week
Unless otherwise stated in writing:
• One rental day equals one calendar day.
• One rental week consists of five (5) rental days based on eight (8) operating hours per day, for a maximum of forty (40) operating hours.
• Additional hour-meter charges apply when the included operating hours are exceeded.
• Monthly rentals include the hour allowance specified on the Rental Agreement.
4.3 Late Returns
Equipment must be returned by the agreed return date and time shown on the Rental Agreement.
A 30-minute grace period is provided.
If the Equipment is returned more than 30 minutes late without prior approval from FlexIron Rentals, additional rental charges may apply at the applicable rental rate.
If additional rental time is needed, Customer must request an extension before the scheduled return time. Extensions are subject to equipment availability and approval.
4.4 Fuel
Equipment will be released with the fuel level documented on the Equipment Inspection Report.
Customer agrees to return the Equipment with the same fuel level.
If additional fuel is required upon return, Customer will be charged:
• The cost of the replacement fuel; and
• A reasonable refueling service charge.
Customer shall use only the fuel type recommended by the manufacturer.
Damage resulting from the use of incorrect fuel shall be the sole responsibility of the Customer.
4.5 Cleaning
Ordinary dirt, dust, mud, grass, and debris resulting from normal operation are expected and will not result in additional charges.
Equipment returned with excessive mud, hardened concrete, asphalt, paint, chemicals, grease, animal waste, trash, or other materials requiring extraordinary cleaning may be subject to a cleaning charge.
If specialized cleaning or environmental disposal is required, Customer shall be responsible for those costs.
4.6 Security Deposit
A security deposit may be required before Equipment is released.
The security deposit serves as security for Customer's obligations under this Agreement and may be applied toward:
• Unpaid rental charges
• Fuel charges
• Cleaning charges
• Late return charges
• Repair costs
• Missing attachments or accessories
• Transportation or recovery costs
• Any other amount owed under this Agreement
If no additional amounts are due, FlexIron Rentals will refund the remaining security deposit within five (5) business days after the Equipment has been inspected.
The security deposit is not a limitation of Customer's financial responsibility. If the amount owed exceeds the security deposit, Customer remains responsible for the balance.
4.7 Failure to Return Equipment
Failure to return Equipment when due does not terminate the Customer's responsibility.
If Equipment is not returned as required, FlexIron Rentals may:
• Continue charging applicable rental rates,
• Recover the Equipment without prior notice where permitted by law,
• Charge reasonable recovery, transportation, storage, and legal costs, and
• Pursue any additional remedies available under this Agreement or applicable law.

ARTICLE 5 – DAMAGE, LOSS, THEFT & EQUIPMENT PROTECTION PLAN
5.1 Customer Responsibility
Customer assumes responsibility for the Equipment from the time it leaves the possession of FlexIron Rentals until it has been returned, inspected, and accepted.
Customer is responsible for damage, theft, vandalism, misuse, abuse, neglect, loss, fire, rollover, collision, or destruction occurring during the Rental Period, except to the extent responsibility is modified by the Equipment Protection Plan, if elected.
5.2 Reporting Damage
Customer shall immediately stop operating the Equipment and notify FlexIron Rentals if:
• The Equipment is damaged;
• A warning light or fault code appears;
• The Equipment becomes unsafe;
• The Equipment is involved in an accident;
• Someone is injured;
• Property is damaged;
• The Equipment is stolen or missing.
Customer shall not continue operating damaged Equipment unless specifically authorized by FlexIron Rentals.
5.3 Theft
If Equipment is stolen or believed to be stolen, Customer shall:
• Notify local law enforcement immediately;
• File a police report;
• Notify FlexIron Rentals immediately;
• Cooperate with any insurance investigation;
• Provide copies of all reports upon request.
Failure to promptly report theft may affect any Equipment Protection Plan benefits.
5.4 Repairs
Customer shall not repair, modify, weld, paint, or authorize repairs to the Equipment without prior written approval from FlexIron Rentals.
Emergency repairs necessary to prevent additional damage require prior authorization whenever reasonably possible.
5.5 Equipment Protection Plan (EPP)
If elected and paid for, the Equipment Protection Plan ("EPP") modifies Customer's responsibility for certain accidental damage to rented Equipment.
The EPP:
• Is not insurance;
• Does not provide liability coverage for bodily injury or property damage;
• Does not eliminate Customer's responsibility for misuse, negligence, or intentional damage;
• Applies only under the terms of this Agreement.
5.6 EPP Exclusions
The Equipment Protection Plan does not cover damage or loss resulting from:
• Intentional misuse or abuse;
• Operation by an unauthorized operator;
• Operation while impaired;
• Failure to maintain proper fluid levels;
• Failure to report warning lights or mechanical problems;
• Theft resulting from failure to secure the Equipment;
• Operation outside Maryland without written approval;
• Sub-renting or unauthorized use;
• Damage caused by using the wrong fuel;
• Overloading or exceeding manufacturer limits;
• Acts of war or government seizure.

5.7 Total Loss
If Equipment is determined by FlexIron Rentals or its insurer to be a total loss, Customer remains responsible for the amount owed under this Agreement, subject to any reduction provided by the EPP if applicable.
5.8 Photographs & Documentation
Customer authorizes FlexIron Rentals to photograph and video record the Equipment before delivery and after return.
These photographs, videos, inspection reports, hour-meter readings, fuel-level records, GPS records, and telematics data may be used to document:
• Equipment condition;
• Existing damage;
• New damage;
• Operating hours;
• Fuel level;
• Missing accessories;
• Disputes regarding Equipment condition.
These records shall be considered part of the Rental Agreement.
ARTICLE 6– INSURANCE REQUIREMENTS & PAYMENT TERMS
Plain-English Summary
Depending on the type of rental, Customers may be required to maintain insurance while the equipment is in their possession. Customer agrees to pay all rental charges, fees, deposits, and other amounts due under this Agreement. Failure to make timely payment may result in additional charges, suspension of rental privileges, or collection action.
6.1 Customer Insurance Requirements
Residential Customers
Residential or personal-use customers may rent Equipment without providing a Certificate of Insurance unless FlexIron Rentals determines additional insurance is necessary based on the Equipment being rented or the circumstances of the rental.
FlexIron Rentals may require:
• Government-issued photo identification;
• A valid payment method;
• A security deposit;
• Execution of this Rental Agreement and all required acknowledgments.
Commercial Customers
Customers renting Equipment for commercial or business purposes may be required to provide, before Equipment is released:
• A current Certificate of Insurance (COI);
• Commercial General Liability Insurance with limits acceptable to FlexIron Rentals;
• Workers' Compensation coverage when required by law;
• Automobile Liability coverage for licensed or towable Equipment, when applicable.
FlexIron Rentals reserves the right to request updated insurance documentation at any time.
6.2 Equipment Protection Plan
Election of the Equipment Protection Plan (EPP) does not replace or eliminate any insurance obligations required under this Agreement.
The EPP is a contractual modification of certain damage obligations and is not insurance
6.3 Rental Charges
Customer agrees to pay all applicable charges, including but not limited to:
• Rental charges;
• Delivery and pickup fees;
• Security deposits;
• Fuel charges;
• Refueling service fees;
• Cleaning charges;
• Damage charges;
• Replacement of lost or missing items;
• Hour-meter overage charges;
• Taxes;
• Environmental or disposal fees, if applicable.
6.4 Payment Terms
Unless other payment arrangements have been approved in writing by FlexIron Rentals:
• Rental charges are due before Equipment is released.
• Additional charges incurred after the rental may be charged to the payment method on file.
• Customer authorizes FlexIron Rentals to process payment for all amounts owed under this Agreement.
6.5 Security Deposit
FlexIron Rentals may apply the security deposit toward any unpaid balance owed under this Agreement, including but not limited to:
• Late fees;
• Fuel charges;
• Cleaning charges;
• Repair costs;
• Missing Equipment or accessories;
• Administrative fees;
• Collection costs permitted by law.
Any remaining balance of the security deposit will be refunded within five (5) business days following completion of the return inspection.
6.6 Returned Payments
A service charge may be assessed for returned checks, declined electronic payments, or reversed credit card transactions to the extent permitted by law.
Customer remains responsible for all outstanding balances.
6.7 Collection Costs
If Customer fails to pay amounts owed, Customer agrees to reimburse FlexIron Rentals for reasonable collection costs, including attorney's fees, court costs, interest where permitted by law, and expenses incurred in collecting the debt.
6.8 Right to Refuse Rental
FlexIron Rentals reserves the right to refuse or terminate any rental if:
• Required documentation cannot be verified;
• Payment cannot be authorized;
• Equipment is unavailable;
• Safety concerns exist;
• Customer has previously failed to comply with a rental agreement; or
• FlexIron Rentals reasonably believes the rental presents an unacceptable risk.
ARTICLE 7 – DEFAULT, REPOSSESSION & CUSTOMER DEFAULT

If the Customer does not comply with this Agreement, fails to return Equipment, fails to make payment, or places the Equipment at risk, FlexIron Rentals may terminate the rental, recover the Equipment, and pursue any remedies available under this Agreement or applicable law
6.1 Events of Defaul
Customer shall be considered in default if Customer:
• Fails to make any payment when due;
• Fails to return Equipment as agreed;
• Uses the Equipment in violation of this Agreement;
• Provides false or misleading information during the rental process;
• Allows an unauthorized operator to use the Equipment;
• Removes Equipment from Maryland without written approval;
• Abandons, conceals, transfers, sells, or attempts to sell the Equipment;
• Fails to maintain required insurance when applicable;
• Becomes insolvent or files for bankruptcy while Equipment remains in their possession; or
• Otherwise materially breaches this Agreement.
6.2 FlexIron Rentals' Rights Upon Default
Upon Customer default, FlexIron Rentals may, to the extent permitted by law:
• Immediately terminate the Rental Agreement;
• Demand immediate return of the Equipment;
• Disable or recover the Equipment using available lawful methods;
• Enter property where the Equipment is reasonably believed to be located, when authorized by law or with permission;
• Continue charging rental fees until the Equipment is returned or recovered;
• Apply the security deposit toward amounts owed;
• Recover costs associated with locating, transporting, repairing, or storing the Equipment; and
• Pursue any other legal or equitable remedies available.

6.3 Customer Responsibility After Default
Customer remains responsible for:
• All unpaid rental charges;
• Damage occurring before recovery;
• Recovery expenses;
• Transportation costs;
• Storage fees;
• Attorney's fees and collection costs where permitted by law;
• Court costs and other lawful expenses.
6.4 Abandoned Equipment
If Customer abandons Equipment or refuses to disclose its location, FlexIron Rentals may take immediate steps to recover its property.
Customer remains responsible for all costs associated with recovery.
6.5 Criminal Misuse
Customer acknowledges that intentionally failing to return rented Equipment, providing false identification, concealing Equipment, or attempting to deprive FlexIron Rentals of its property may violate applicable criminal laws.
Nothing in this Agreement limits FlexIron Rentals' right to report suspected criminal activity to law enforcement.
ARTICLE 7 – LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Assumption of Risk
Customer understands that construction and outdoor equipment can be dangerous if improperly operated.
Customer voluntarily assumes all risks associated with the possession, transportation, loading, unloading, operation, and use of the Equipment during the Rental Period.
7.2 No Warranty
Except where prohibited by law, Equipment is rented "AS IS" and "WITH ALL FAULTS."
FlexIron Rentals makes no express or implied warranties, including warranties of merchantability or fitness for a particular purpose.
7.3 Customer Indemnification
To the fullest extent permitted by law, Customer agrees to defend, indemnify, and hold harmless FlexIron Rentals, LLC, its owners, officers, employees, and agents from claims, damages, liabilities, judgments, penalties, fines, losses, and expenses (including reasonable attorney's fees) arising out of or related to:
• Customer's possession or operation of the Equipment;
• Injury or death of any person;
• Damage to real or personal property;
• Violation of law;
• Breach of this Agreement.
This obligation survives the termination of the Rental Agreement.
7.4 Limitation of FlexIron Rentals' Liability
To the fullest extent permitted by law, FlexIron Rentals shall not be liable for:
• Lost profits;
• Lost business opportunities;
• Project delays;
• Consequential damages;
• Incidental damages;
• Special damages;
• Loss resulting from Equipment downtime beyond the remedies expressly provided in this Agreement.
If FlexIron Rentals is found legally liable despite this limitation, its liability shall not exceed the total rental charges paid by Customer for the Equipment involved in the claim, except where prohibited by law.
7.5 Mechanical Breakdown
If Equipment experiences a mechanical failure due to normal use during the Rental Period, Customer shall immediately stop operating the Equipment and notify FlexIron Rentals.
FlexIron Rentals will make reasonable efforts to repair or replace the Equipment as promptly as practical, depending on availability and circumstances.
ARTICLE 8 – GENERAL TERMS & LEGAL PROVISIONS
Plain-English Summary
These provisions explain how this Agreement is interpreted, how notices are handled, what happens if part of the Agreement is found unenforceable, and other legal rules that apply to every rental.

8.1 Entire Agreement
This Agreement, together with the Rental Agreement, Equipment Inspection Report, Equipment Protection Plan Election, Safety Acknowledgment, invoices, photographs, electronic records, and any documents specifically incorporated by reference, constitutes the entire agreement between FlexIron Rentals and the Customer.
No verbal statements or prior discussions shall modify this Agreement unless confirmed in writing by an authorized representative of FlexIron Rentals.

8.2 Electronic Signatures
Customer agrees that electronic signatures, electronic initials, online reservations, electronic acknowledgments, and digital records have the same legal force and effect as original handwritten signatures to the fullest extent permitted by law.

8.3 GPS & Telematics
Customer acknowledges that certain Equipment may contain GPS tracking devices, telematics systems, hour meters, or other electronic monitoring equipment.
These systems may be used to:
• Verify operating hours;
• Determine equipment location;
• Assist in theft recovery;
• Monitor maintenance needs;
• Verify return times;
• Investigate damage or misuse.
Customer consents to the collection and use of this information for legitimate business purposes.

8.4 Privacy
FlexIron Rentals will use Customer information only for legitimate business purposes, including:
• Processing rentals;
• Payment processing;
• Customer service;
• Fraud prevention;
• Insurance claims;
• Equipment recovery;
• Compliance with applicable laws.
FlexIron Rentals does not sell Customer personal information.
8.5 Severability
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8.6 Waiver
Failure by FlexIron Rentals to enforce any provision of this Agreement on one occasion shall not constitute a waiver of the right to enforce that provision in the future.
8.7 Assignment
Customer may not assign, transfer, or delegate any rights or obligations under this Agreement without the prior written consent of FlexIron Rentals.
FlexIron Rentals may assign this Agreement as permitted by law.
8.8 Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Maryland, without regard to its conflict-of-law rules.

8.9 Venue
Any legal action arising out of or relating to this Agreement shall be brought in a court of competent jurisdiction located in the State of Maryland, unless the parties mutually agree to another method of dispute resolution.

8.10 Jury Trial Waiver
To the fullest extent permitted by law, FlexIron Rentals and Customer knowingly and voluntarily waive any right to a trial by jury in any dispute arising out of or relating to this Agreement.

8.11 Survival
The following provisions survive the termination or expiration of this Agreement:
• Payment obligations;
• Customer responsibility for damage;
• Indemnification;
• Collection costs;
• Limitation of liability;
• Governing law;
• Any provision that by its nature is intended to survive termination.

ARTICLE 9 – CUSTOMER ACKNOWLEDGMENT
By signing this Agreement, Customer acknowledges that they:
• Have read this Agreement in its entirety.
• Had an opportunity to ask questions.
• Understand the Equipment Protection Plan (EPP) is not insurance.
• Understand their responsibility for the Equipment.
• Agree to comply with all safety requirements.
• Have inspected the Equipment or had the opportunity to inspect it.
• Agree to all terms and conditions of this Agreement.
Customer further acknowledges that they have received copies of all documents identified as part of this Agreement.
